Because at that point, not enforcing the iron clad contract, that Musk designed and forced on the Board, would have been malpractice.

The Board had a fiduciary duty to accept what Musk deemed was a “seller friendly contract” with no clauses or contingencies for financing or due diligence.

The Board also had a fiduciary duty to enforce Musk’s contract because, by the time Musk tried to weasel out of the contract, Musk had done substantial harm to the business, the brand, and the stock price. He broke it, he bought it.
