I have a hunch that Toad is the one who invented the slush fund plan so he'll naturally try anything to justify it. No doubt he'll get a huge bonus for doing so. The Orange Blob doesn't know enough about the legal system (or anything else) to devise a plan that has him suing and then reaching a settlement with himself.
