1. Getting Nat Geo out from under Fox's hands alone feels worthwhile

There are definitely issues to be had with this deal and I don't discount that.

But with the changes in technology, Fox in its non-news media properties are just struggling because they can't grow to scale with what's happening.

And my geek side wants to get more Marvel properties under the same house once again as well as the Star Wars franchise. Small things in the grand scheme of things, but they're there. It's pure upside for Disney, esp. since the bulk of what Fox does would likely stand on its own similar to Pixar, Marvel, and Lucasfilm as another "fiefdom"
